Terms of Service
PLEASE READ THESE TERMS CAREFULLY BEFORE USING ZAIFI. BY CREATING AN ACCOUNT OR USING THE SERVICE, YOU AGREE TO BE BOUND BY THESE TERMS.
1. AGREEMENT TO TERMS
These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Zaifi ("Company," "we," "us," or "our") governing your access to and use of the Zaifi mobile application, web application, and related services (collectively, the "Service").
If you are using Zaifi on behalf of a business or other legal entity, you represent that you have authority to bind that entity to these Terms.
2. DESCRIPTION OF SERVICE
Zaifi is a financial management application designed to assist small business owners and individuals in organizing and tracking financial transactions, estimating tax liabilities, generating financial reports, managing invoices, and related tasks. The Service uses automated tools, artificial intelligence, and connections to third-party financial data providers to deliver these features.
3. NOT FINANCIAL, LEGAL, OR TAX ADVICE — IMPORTANT DISCLAIMER
ZAIFI IS A SOFTWARE TOOL, NOT A LICENSED FINANCIAL ADVISOR, CERTIFIED PUBLIC ACCOUNTANT (CPA), TAX PREPARER, ENROLLED AGENT, ATTORNEY, OR ANY OTHER LICENSED PROFESSIONAL.
NOTHING IN THE SERVICE, INCLUDING BUT NOT LIMITED TO: tax estimates, cash flow projections, expense categorizations, financial reports, AI-generated tips, transaction classifications, or any other output or communication from Zaifi, constitutes financial advice, tax advice, legal advice, accounting advice, or investment advice.
All outputs from the Service are provided for informational and organizational purposes only. Tax estimates are approximations based on general rules and the information you provide; they are not a substitute for a professional tax filing or consultation. Expense categories suggested by the Service may not reflect the treatment required by applicable law.
YOU ARE SOLELY RESPONSIBLE FOR ALL FINANCIAL, TAX, AND LEGAL DECISIONS. YOU SHOULD CONSULT A QUALIFIED CPA, TAX PROFESSIONAL, ENROLLED AGENT, FINANCIAL ADVISOR, OR ATTORNEY FOR ALL MATTERS RELATING TO YOUR TAXES, FINANCES, BUSINESS STRUCTURE, AND LEGAL OBLIGATIONS.
Zaifi expressly disclaims any liability arising from your reliance on any information or output produced by the Service.
4. ELIGIBILITY
The Service is intended for use in the United States; users outside the United States use the Service at their own risk and are responsible for compliance with local laws. The Service is not directed to children under 13 (see the Privacy Policy).
5. ACCOUNT REGISTRATION AND SECURITY
You must create an account to use the Service. You agree to provide accurate, current, and complete information during registration and to keep your account information up to date. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately of any unauthorized access.
We reserve the right to suspend or terminate accounts that violate these Terms.
6. SUBSCRIPTION PLANS AND BILLING
The Service is offered on a subscription basis. The plans and their prices are shown in the application before you choose one, and may change from time to time; we will tell you before a price change applies to you. Prices are in U.S. dollars and exclude any applicable taxes.
By choosing a plan, you authorize us, our payment processor (Stripe), or the app store you subscribe through (Apple App Store or Google Play) to charge your payment method each month, on the same date, at the plan's then-current price, until you cancel. Your subscription renews automatically each month unless you cancel before the renewal date.
Where you subscribe: a plan bought on our website is billed by Stripe on our behalf; a plan bought in the iPhone or Android app is billed by Apple or Google under their own terms. A plan is changed or cancelled where it was bought. One subscription covers your account on every device.
Changing plans: moving to a higher plan takes effect at once. On the website or through Google Play you are charged the difference for the days left in the current month, and your renewal date stays the same. Through the App Store, Apple starts the new plan immediately at its full price, credits the unused part of the old plan, and your monthly billing date becomes that day. Moving to a lower plan takes effect at your next renewal date; until then you keep the plan you have already paid for.
Additional businesses: each business you add after the first is a separate subscription, billed from the day it is added at the then-current additional-business price. Additional businesses do not include a free week.
Failed Payments and Lapsed Access: If a payment fails, we will attempt to collect it again over a retry period of approximately two weeks, and we will contact you at the email address on your account. During that period your access continues.
If payment has still not been made once the retry period ends, access to the affected business is suspended. You will be able to sign in and restore access by paying the amount owed, but you will not be able to view or work in that business until you do.
You should understand what suspension means for your records. While a business is suspended, the Service does not record or categorise transactions for it. If you later resume the subscription, we cannot reconstruct the period during which it was unpaid — transactions that occurred in that gap will not have been captured, and your books for that period will be incomplete. If accurate records for that period matter to you, keep the subscription active or export your data before the retry period ends.
Household Sharing: Business Premium subscribers may invite one additional household member to access their account. The invited member's access is contingent on the subscriber maintaining an active Business Premium subscription.
7. FREE WEEK
Your account's first seven days are free. When you sign up you choose a plan and give your payment details (your card on our website, or your App Store or Google Play account). Nothing is charged during the free week. Unless you cancel before it ends, your chosen plan is charged automatically seven days after your account was created, and then monthly on that date.
The free week is the account's first seven days and happens once per account. It does not start again if you cancel and subscribe again, or subscribe through a different website or app store; a plan chosen after the free week has ended is charged on the day you choose it. On our website, if fewer than two days of the free week remain when you choose a plan, your first payment is two days after you choose it. Apple and Google also offer a free trial only once per person, under their own rules.
If the free week ends without a paid plan in place, the application asks you to choose one before you can continue. We never charge you for a plan you have not chosen.
8. CANCELLATION AND REFUNDS
You may cancel at any time. A plan bought on our website is cancelled in the application (Settings, then Manage subscription); a plan bought through the App Store or Google Play is cancelled in that store's subscription settings. Cancellation takes effect at the end of the period you have already paid for: you keep access until then and are not charged again. Your records are not deleted when you cancel.
Deleting your account cancels a plan bought on our website or through Google Play in the same way. Apple does not allow us to cancel an App Store subscription for you: you must cancel it with Apple, or Apple will continue to charge you.
Except as required by applicable law, subscription fees are non-refundable, and partial months are not refunded. If you believe a charge was made in error, contact us at support@zaifibooks.com within 30 days of the charge.
Purchases made through the Apple App Store or Google Play are refunded only by Apple or Google, under their refund policies.
9. THIRD-PARTY SERVICES
The Service integrates with third-party services, including:
- Plaid Technologies, Inc. — for bank account connectivity and transaction data. Your use of Plaid is also subject to Plaid's End User Privacy Policy and Terms of Service.
- Google Firebase — for authentication, database storage, and push notifications.
- RevenueCat, Inc. — for subscription management.
- Anthropic, PBC — for AI features, used only with your permission: reading the documents you scan, sorting payments Zaifi's own rules cannot, the help chat, and working out how an accounting file you import is laid out when Zaifi's own rules cannot. Financial tips are worked out by Zaifi itself from your own records.
- Stripe, Inc. — for web-based payment processing and, if you connect your own Stripe account, the card payment links on your invoices.
We are not responsible for the practices, content, or availability of third-party services. We encourage you to review the privacy policies of each third party.
10. USER DATA AND CONTENT
You retain ownership of the financial data and content you provide to the Service. By using the Service, you grant us a limited license to store, process, and display your data solely for the purpose of providing the Service to you.
You are responsible for the accuracy of the data you provide. We do not verify the accuracy of transaction data, categories, or other user-supplied information.
11. ACCEPTABLE USE
You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable law
- Attempt to gain unauthorized access to any part of the Service or its related systems
- Interfere with or disrupt the integrity or performance of the Service
- Use the Service to transmit malicious code or harmful data
- Reverse engineer, decompile, or disassemble any part of the Service
- Resell, sublicense, or otherwise commercially exploit the Service
12. INTELLECTUAL PROPERTY
The Service, including all software, design, text, graphics, logos, and other content (excluding your data), is owned by or licensed to Zaifi and is protected by U.S. and international intellectual property laws. Nothing in these Terms grants you any right to use the Zaifi name, trademarks, or other proprietary marks without our prior written consent.
13. DISCLAIMERS
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY DATA STORED WITHIN THE SERVICE WILL BE PRESERVED WITHOUT LOSS.
ZAIFI DOES NOT GUARANTEE THE ACCURACY, COMPLETENESS, OR TIMELINESS OF ANY FINANCIAL DATA, TAX ESTIMATES, OR OTHER INFORMATION PROVIDED BY THE SERVICE. BANK TRANSACTION DATA IS PROVIDED BY THIRD PARTIES AND MAY BE DELAYED, INCORRECT, OR INCOMPLETE.
14. LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ZAIFI, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO US IN THE TWELVE (12) MONTHS PRIOR TO THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (\$100).
15. INDEMNIFICATION
You agree to indemnify and hold harmless Zaifi and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with your access to or use of the Service, your violation of these Terms, or your violation of any rights of another party.
16. GOVERNING LAW AND DISPUTE RESOLUTION
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict-of-law provisions.
Any dispute arising from or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If not resolved within 30 days, disputes shall be submitted to binding arbitration under the rules of the American Arbitration Association, except that either party may seek injunctive or other equitable relief in any court of competent jurisdiction. YOU WAIVE ANY RIGHT TO A JURY TRIAL OR TO PARTICIPATE IN A CLASS ACTION.
17. CHANGES TO TERMS
We reserve the right to modify these Terms at any time. We will notify you of material changes by updating the version number and date at the top of this document and, where appropriate, by in-app notification. Your continued use of the Service after changes take effect constitutes your acceptance of the revised Terms.
18. TERMINATION
We may suspend or terminate your access to the Service at any time, with or without cause or notice, including for violation of these Terms. Upon termination, your right to use the Service ceases immediately. Sections 3, 13, 14, 15, and 16 survive termination.
